Terms of sale — Business

These terms apply when you purchase as a business. For consumer purchases, see our terms for consumers.

1. General

These terms apply to purchases of physical goods from Stockholm Coffee Tools AB (corporate ID 559237-6346), hereafter "SCT", when the buyer acts as a business — whether the purchase is made via webshop, email, phone or direct contact.

B2B purchases are governed primarily by the Swedish Sale of Goods Act (Köplagen 1990:931), the Contracts Act (1915:218) and the principles of freedom of contract. The Sale of Goods Act is non-mandatory, meaning the terms below apply to the extent the parties have not agreed otherwise in writing.

2. Order and agreement

How the agreement is formed

An agreement comes into effect when SCT has confirmed the order in writing — via order confirmation by email or equivalent. For products priced by quotation, the agreement is formed only when the quotation has been accepted in writing by both parties.

Orders can be placed via webshop, email, phone or direct contact. In the web checkout the buyer can freely review and adjust contents, addresses and shipping methods until the order is actively submitted.

Language and archiving

The agreement is concluded in Swedish. SCT archives order confirmations and contract documents electronically. A copy is provided on request via info@nordiccoffeetools.se.

Customer account and accurate details

To purchase as a business customer, a registered customer account with SCT is required. Business customers are assigned individual pricing. The buyer is responsible for ensuring the details provided at order time are correct, including corporate ID, shipping and invoicing addresses, and contact person.

The right to refuse an order

We reserve the right to refuse an order due to a sold-out product, obvious pricing errors, or insufficient credit information.

3. Prices and VAT

Prices for business customers are quoted in Swedish kronor (SEK) and exclusive of VAT, unless otherwise stated. VAT is added at the rate applicable from time to time.

Business customers with a signed customer agreement have individually agreed prices that may differ from the prices on the website.

Any shipping costs are added on top of the product price and communicated before or in connection with order confirmation.

4. Payment and retention of title

Payment terms

Business customers pay by invoice. Payment terms are net 10 days from invoice date, unless otherwise agreed in writing. SCT may, for new customer relationships or larger orders, require advance or partial payment.

Late payment

For late payment, default interest is charged under the Interest Act (Räntelagen 1975:635) — currently the Swedish Riksbank reference rate plus 8 percentage points. A reminder fee of 60 SEK and reimbursement of debt-collection costs may be added under the Compensation for Collection Costs Act (1981:739).

Retention of title

SCT applies retention of title for credit sales under the Hire Purchase Between Businesses Act (1978:599). Delivered equipment remains SCT's property until full payment has been received. In the event of non-payment, SCT has the right to repossess the equipment.

5. Delivery

We offer three delivery options. The shipping method is chosen at order time.

Installation (professional commissioning)

SCT delivers and installs the equipment on site. Installation includes connection of electricity, water and drainage where required. The date and technical prerequisites are confirmed before the installation.

Shipping (delivery to address)

The product is delivered to the specified address via a carrier. Shipping cost is calculated per order. The buyer can also choose to arrange their own transport, in which case the equipment is prepared for collection at SCT.

Pickup (collection in Solna)

Pickup takes place at our address Fabriksvägen 5, 171 48 Solna by appointment and is free of charge.

Delivery times

Delivery times vary depending on product and availability and are communicated with the order confirmation. Delivery time for special orders may be longer. SCT is not liable for delays caused by force majeure (see section 11).

6. Transfer of risk

The risk for the goods passes to the buyer on handover to a carrier or on collection from SCT's warehouse, in accordance with the Sale of Goods Act. For installation, risk passes on completion of commissioning, unless otherwise agreed in writing.

7. Installation and care requirements

Professional coffee equipment places high demands on the installation environment and ongoing maintenance. For warranty and complaint rights to be preserved, SCT requires that the equipment is installed, used and cared for in accordance with the manufacturer's instructions.

Water quality

Incoming water hardness (dH), pH and chlorine content must fall within the manufacturer's specified range. Water outside these values often leads to limescale buildup, corrosion or component failure.

Buyer's responsibility:

  • Ensure that the local water quality meets the manufacturer's specification.
  • Where needed, install a water filter or softening solution that meets the specification.
  • Carry out and document regular descaling at the manufacturer's specified intervals.

Damage that can be traced to these requirements not being followed is treated as misuse and is not covered by warranty or complaint. SCT offers water analysis and filtration as a separate service — get in touch before installation.

Service and interventions

Repairs and interventions on the equipment must be carried out by SCT or by an SCT-authorised technician. Interventions performed by other parties cause SCT's liability for the fault to lapse.

8. Complaints

The buyer must inspect the goods as soon as possible after receipt. Faults must be reported in writing to info@nordiccoffeetools.se within reasonable time of being discovered or should reasonably have been discovered, and at the latest within one (1) year from delivery, unless otherwise agreed in writing.

Complaints should include the order number, invoice number and a description of the fault.

For an approved complaint, SCT has the right to remedy the fault by repair or replacement, with up to three (3) remedy attempts before any other remedy may be invoked, unless otherwise agreed in writing. SCT prioritises repair over replacement on sustainability grounds.

9. Warranty

SCT provides a twelve (12) month warranty against manufacturing defects from the delivery date, unless otherwise agreed in writing. The warranty does not cover faults caused by:

  • Improper handling, careless use or insufficient maintenance
  • Service or repair performed by a party other than SCT or an SCT-authorised technician
  • Water that does not meet the manufacturer's specification (see section 7)
  • Normal wear and tear

Some products are additionally covered by the manufacturer's own warranty. The terms for such warranties are set out in the product documentation.

10. Returns

The right of withdrawal under the Distance Selling Act does not apply to purchases made as a business.

Returns of non-faulty products are only accepted by written agreement. The product must be returned unused in its original packaging. Return shipping is paid by the buyer. Special orders and customised products are not taken back.

11. Limitation of liability and force majeure

Limitation of liability

SCT's liability for damages is limited to direct loss and to a maximum of the amount the customer has paid for the relevant product or service.

SCT is not liable for indirect damages — including but not limited to loss of profit, downtime, lost production or consequential damage — unless the damage is caused by gross negligence or wilful misconduct on SCT's part. Damage arising from the buyer's own handling, installation errors performed by third parties, or external events such as water leaks or fire, falls outside SCT's liability.

Product liability

For personal injury or property damage arising from a safety defect in a delivered product, the Swedish Product Liability Act (Produktansvarslagen 1992:18) applies. SCT's liability follows from what is prescribed in that Act.

Force majeure

SCT is not liable for delay or non-performance caused by circumstances beyond our reasonable control. Examples of such circumstances include, but are not limited to:

  • Natural disasters, extreme weather and fire
  • War, acts of terrorism, riot or general civil unrest
  • Pandemic or other epidemic outbreaks
  • Regulatory decisions, sanctions or sudden export or import restrictions
  • Strike, lockout or other labour-market conflicts
  • Cyberattacks, major IT outages affecting our systems or third-party suppliers
  • Port blockades, flight bans, breakdowns in global logistics chains and transport disruption
  • Component or semiconductor shortages and other supplier shortfalls
  • Serious interruptions to electricity or energy supply

In the event of force majeure, the delivery time is extended by the duration of the obstacle. If the obstacle persists for more than 90 days, both parties have the right to cancel the agreement without liability for damages. SCT will promptly notify the buyer when force majeure occurs and when the obstacle ceases.

13. Governing law and disputes

These terms are governed by Swedish law.

Disputes arising in connection with the agreement shall first be resolved through negotiation between the parties. If the parties cannot reach an agreement, the dispute shall be settled by Swedish general courts with Solna District Court as the first instance.
